What catches people out in Washington

  • The deadline is your company's anniversary, not a fixed date. So two Washington LLCs you own have two different due dates, and no single reminder covers both.
  • Operating in another state means another full set of these. A foreign qualification is a second registration: its own registered agent, its own report, its own fee. It is not an extension of your Washington filing.

What happens if you miss it

$25 late fee; delinquent after 120 days. The end state is administrative dissolution. That is the part worth understanding: an administratively dissolved LLC stops existing as a legal entity, and the liability protection you formed it for stops with it. In some states that is applied retroactively. The late fee is annoying; losing the shield on a company that holds an asset is the actual risk.

Washington accepts filings online at https://www.sos.wa.gov/corps/. You can absolutely do this yourself — most people can. The difficulty is never one filing, it is remembering the fourth one across three states in a year.
